Candidates must possess a JD from an ABA-accredited law school and be admitted to the bar in good standing. A minimum of 4 years of relevant sales-side transactional experience is required, preferably with some in-house and international exposure. Understanding of SaaS contracting, data privacy, and revenue recognition is essential, along with strong drafting and negotiation skills. Flexibility, judgment in ambiguous situations, a sense of urgency, and the ability to manage multiple priorities under pressure are crucial. Excellent customer service, collaboration, and professionalism are also required. Prior experience with a rapidly growing company, data security/privacy laws (GDPR, CCPA), project management, and tools like Ironclad, DocuSign, Confluence, or Salesforce/CPQ are preferred.
The Commercial Counsel will independently negotiate customer agreements such as SaaS agreements, DPAs, and partner agreements, as well as vendor contracts. They will provide clear legal advice on contract terms, including security and data privacy, and contribute to the creation and maintenance of contracting resources like templates and playbooks. Responsibilities also include participating in process improvement projects, developing training materials, building relationships with business stakeholders, educating management on risks, assisting with a contracts management system, and supporting general legal needs while contributing to a positive team environment.
