Requirements

Candidates must possess a Juris Doctor (JD) degree and be a member in good standing of a State Bar or Provincial Law Society, with 2 to 4 years of experience at a leading law firm or as in-house counsel preferred. Experience drafting, reviewing, and negotiating complex agreements, particularly with US and UK agreements, is desired, along with knowledge of data privacy and data security laws such as GDPR. Strong drafting and negotiation skills, sound business judgment, and the ability to interpret complex policies and legal language are also required.

Responsibilities

The Corporate Counsel will draft, review, and negotiate a wide range of contracts with clients, partners, contractors, and vendors, covering areas like professional services, software licensing, and confidentiality. They will provide counsel and strategic advice to internal teams on legal and commercial issues, manage ongoing negotiations, draft correspondence, assist in managing contract databases, develop standard agreement templates, and act as a subject matter expert on internal legal processes. This role also involves collaborating with internal and external stakeholders globally, working with the Talent and Information Security teams, and undertaking other reasonable duties as assigned.
