Requirements

Candidates must have at least 3 years of experience drafting and negotiating agreements in a global SaaS enterprise environment. A solid understanding of commercial contract terms, including intellectual property rights, indemnification, and limitations of liability, is essential. Strong written and verbal communication, organizational skills, attention to detail, good judgment, and the ability to work both independently and in a team setting are required. Experience in a remote environment is necessary. Global privacy experience and knowledge of Salesforce or other enterprise quoting tools are preferred. Experience with the Federal Acquisition Regulations (FAR) for federal contracts is a plus.

Responsibilities

The Associate Commercial Counsel will draft, review, negotiate, and administer agreements with Vimeo’s partners and sales-assisted customers, including SaaS and technology licensing agreements, reseller and referral partnership agreements, RFIs/RFPs, OEM agreements, consulting agreements, statements of work, and non-disclosure agreements. This role involves collaborating with Sales, Finance, Deal Desk, Security, and Executive Leadership to ensure contract compliance with policies and law. Responsibilities include responding to approval requests, educating stakeholders on policies and procedures, communicating contract risks, maintaining and improving contracting policies and procedures, and managing standard terms, templates, and processes to minimize friction and mitigate risk.
