Senior Corporate Counsel - Global Data Privacy & Product Support

Position Overview

Smarsh is seeking a Senior Corporate Counsel with 5+ years of experience to join our growing legal team, with a specific focus on global data privacy and product support. This role will have a key part in negotiating transactions for the company. The ideal candidate will possess knowledge of the enterprise software industry and the experience to engage internally with Legal, Information Security, Sales, and Finance, and externally with prospective customers and vendors on company, customer, and vendor agreements.

The chosen candidate will demonstrate initiative, possess good judgment and attention to detail, and will be a quick thinker, quick learner, hard worker, and most importantly, a team player. Location Preference: Within the US - Eastern Time zone.


Responsibilities

  • Negotiate complex SaaS and software agreements, including information security and privacy agreements, for enterprise and midmarket customers, primarily in financial services and the public sector.
  • Negotiate Partner Agreements and support the partner team.
  • Negotiate vendor agreements for products and services that support the business.
  • Confer with sales, customer success, professional services, finance, and other departments on relevant terms; understand when and how to escalate as needed.
  • Interact regularly with the sales team and executive team to support transactions.
  • Work efficiently and effectively internally and externally to expedite transaction closures.
  • Interact daily with the legal team; maintain open communication; collaborate to achieve common and cross-functional goals.
  • Perform other duties as assigned.

Requirements

  • Juris Doctor (JD) from an ABA-accredited program; active bar membership in any state.
  • 5+ years of experience negotiating and managing complex technology transactions, preferably for entities in highly regulated industries. Public sector experience is a plus.
  • Ideal candidate will have experience representing or negotiating with Fortune 500 companies and experience working in both a law firm and an in-house legal department.
  • Keen interest in negotiation strategy and deal design; proven experience using interest-based negotiation techniques.
  • Excellent communication skills: comfortable in various modes of communication – phone, chat, email.
  • Excellent time-management skills: ability to handle multiple projects and demands simultaneously.
  • Proactive with a "can-do" personality.
  • Team-oriented nature and approach; ability to build solid, positive working relationships.
  • Confident, emotionally mature, and resilient.
  • Detail-oriented; open to feedback on work product.
  • Comfortable and calm under pressure.
  • Technical knowledge; familiarity and comfort using databases and Office 365 tools. Salesforce and JIRA experience is helpful.

Compensation

  • Salary Range: $185,000 - $200,000 per year

Note: The above range represents Smarsh's good faith and reasonable estimate of the range of possible base compensation at the time of posting. Any applicable bonus programs will be discussed during the recruiting process.
