Candidates must possess a JD from an ABA accredited program and be an active bar member in any state. A minimum of 5 years of experience negotiating and managing complex technology transactions, preferably for entities in highly regulated industries, is required. Public sector experience and experience representing or negotiating with Fortune 500 companies, including experience in both a firm and in-house legal department, are highly desirable. A keen interest in negotiation strategy and deal design, proven experience using interest-based negotiation techniques, excellent communication and time-management skills, and proficiency with databases and Office 365 tools are also necessary. Salesforce and JIRA experience are considered helpful.
The Senior Corporate Counsel will negotiate complex SaaS and software agreements, including information security and privacy agreements, for enterprise and midmarket customers, primarily in financial services and the public sector. Responsibilities include negotiating partner agreements, supporting the partner team, and negotiating vendor agreements for products and services. The role involves conferring with sales, customer success, professional services, and finance departments, interacting with the sales and executive teams to support transactions, and working efficiently to speed transactions to close. Daily interaction with the legal team, maintaining open communication, and collaborating to achieve common and cross-functional goals are essential. The position may also include other duties as assigned.
