Sr. Corporate Counsel

Responsibilities

As a Senior Corporate Counsel, you will independently draft, negotiate, review, and advise on a wide range of complex commercial agreements, including letters of intent, non-disclosure agreements, master service agreements, SaaS agreements, partnership agreements, marketing agreements, professional services agreements, agency agreements, licensing agreements, and other ancillary documents. You will provide practical, creative, and strategic legal advice on complex issues, including those novel and setting precedent, while translating strategic guidance into operational goals. You will lead cross-functional initiatives, anticipate future needs and industry trends, and partner closely with business teams across engineering, product, marketing, finance, and people. You will own Dave’s Vendor Risk Management Policy and Procedure, meeting internal risk management considerations and stakeholder expectations. Furthermore, you will enhance current processes by designing, innovating, and managing end-to-end contract-driven processes in Ironclad and other scalable frameworks, and effectively use AI and AI Legal tools to drive efficiency and effectiveness in all areas, creating and managing contract playbooks, templates, and libraries. You will also work with and manage outside counsel as needed.
