Requirements

Candidates must possess a Juris Doctorate or equivalent degree and be a member of a state or provincial bar. Relevant in-house experience supporting sales, product, partnership, marketing, and advertising teams at a SaaS company is required, along with 2-4 years of experience practicing law (in-house and/or law firm) and negotiating commercial transactions. Strong business acumen, excellent communication and interpersonal skills, knowledge of basic data privacy laws in the SaaS industry, and the ability to manage multiple projects and deadlines are essential. Experience with quarterly SaaS sales cycles and extensive knowledge of GDPR and CCPA are considered advantageous.

Responsibilities

The Commercial Legal Counsel will provide proactive legal support on commercial matters, including contracts, marketing, and regulatory compliance, to internal clients and stakeholders. This role involves working closely with a contract manager to draft, negotiate, review, redline, and interpret commercial documents such as MSAs, NDAs, and data processing agreements. The counsel will advise on legal issues related to go-to-market strategies, marketing, advertising, privacy, and intellectual property. Additionally, the position requires collaboration with the legal ops specialist to improve commercial transaction workflows and manage legal documents within a contract lifecycle management tool.
