The Role: Commercial Counsel

As a Commercial Counsel at Khan Academy, you will be instrumental in shaping our legal frameworks and processes to support the scaling of our educational impact. You will work closely with the Commercial Legal Team, reporting to the Associate General Counsel. This role emphasizes integrity, collaboration, and a proactive approach to problem-solving in the dynamic EdTech sector.

Responsibilities

  • Negotiate commercial contracts for school district sales and vendor engagements, including drafting, reviewing, and negotiating service agreements and data processing addenda.
  • Contribute to the development of templates, playbooks, training materials, documentation, and workflows to enable long-term scalability.
  • Partner cross-functionally with Sales, Security, Support, and Philanthropy teams to negotiate partnerships with regulated entities.
  • Manage the legal and compliance aspects of RFP submissions, including reviewing ancillary documents with internal stakeholders.
  • Serve as a first-line business partner to internal functional teams.
  • Provide timely and thoughtful support on NDAs, vendor agreements, and other commercial matters.
  • Embrace new challenges with a problem-solving mindset and contribute wherever needed.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with at least one state bar.
  • 4-6 years of legal experience, including in-house experience.
  • Demonstrated strength in commercial sales contracting, including SaaS agreements and regulated industries, with a focus on detail, consistency, and efficiency.
  • A growth mindset and a builder mentality.
  • Solid foundation in, or strong aptitude for developing expertise in, privacy, data protection, and security.
  • Ability to collaborate effectively on projects, provide constructive feedback, and learn within a nimble organization.
  • Skill in analyzing, assessing, and communicating risks, offering practical solutions.
  • Ability to manage expectations and build strong cross-functional relationships.
  • Commitment to developing and maintaining a deep understanding of student data privacy regulations (FERPA, COPPA, and similar state laws) impacting operations.
  • Interest in the education sector and a desire to make a positive impact on learners, parents, and educators.
