Requirements

The Commercial Counsel position requires a JD from an accredited law school and active membership in good standing with at least one state bar, along with 4-6 years of practice legal experience, including in-house experience. Strong skills in commercial sales contracting, particularly SaaS agreements and regulated industries, are necessary, alongside attention to detail, consistency, and efficiency. A foundational understanding of privacy, data protection, and security is also required, as well as an interest in the education sector and a desire to make a positive impact.

Responsibilities

As a Commercial Counsel, you will negotiate commercial contracting for school district sales and vendor engagements by drafting, reviewing, and negotiating service agreements and data processing addenda. You will contribute to building templates, playbooks, training materials, and workflows to enable Khan Academy’s scale, partner cross-functionally with Sales, Security, Support, and Philanthropy teams on partnerships with regulated entities, own the legal and compliance aspects of RFP submissions, act as a first-line business partner to one or more functional teams, provide support on NDAs and vendor agreements, and embrace challenges with a problem-solving mindset. You will also develop and maintain a deep understanding of student data privacy regulations and adeptly analyze, assess, and communicate risks, offering practical solutions to manage risk.
