Requirements

Candidates must possess a JD from an accredited U.S. law school and an active license to practice in at least one U.S. jurisdiction. A minimum of 3 years of experience at an AmLaw 100 law firm and 2+ years of in-house experience at a high-growth startup or public tech company are required. The ideal candidate is a business-minded attorney skilled at balancing risk mitigation.

Responsibilities

The Commercial Counsel will lead the review, negotiation, and strategic management of complex agreements with clients, vendors, and partners, including MSAs, amendments, NDAs, statements of work, DPAs, pilot agreements, partnership agreements, channel sales/collaboration agreements, and terms of service. This role involves conducting ad hoc legal analysis, providing counsel on strategic initiatives, advising senior leaders, collaborating with cross-functional teams, developing and improving training programs, identifying operational efficiencies, refining contract standards, building relationships with executives and product teams, managing outside counsel, and supporting corporate transactions and other company projects as needed.
