Requirements

  • Deep knowledge of channel and professional services in a global commercial SaaS environment

  • Experience structuring, drafting, and negotiating complex strategic partnership, channel, and services agreements (e.g., professional services agreements, subcontractor agreements, reseller, fulfillment, co-sell/referral, and distributor agreements)
  • Considerable experience shaping business and legal terms and deal structures to ensure compliance with applicable law, alignment with company policies, and appropriate risk management
  • Passion for technology and ability to serve as a trusted advisor and thought partner, delivering practical advice and driving multiple initiatives simultaneously
  • Skills in partnering with cross-functional teams (e.g., Sales, Finance, Security, Privacy, Product, Engineering, Marketing) in a fast-paced environment

Responsibilities

  • Serve as legal subject matter expert for Procore’s channel programs and professional services offerings, providing direct support to the Global Partner Program Office, Partner Success Managers, and Global Professional Services organization
  • Structure, draft, and negotiate complex strategic partnership, channel, and services agreements, guiding the business based on GTM strategy
  • Provide practical, commercial guidance and compliance advice to global Sales executives and stakeholders on channel- and services-related legal issues, balancing business objectives with legal risks
  • Identify, manage, and communicate risks and opportunities in GTM models and revenue transactions; analyze and interpret complex business partnership structures and contractual provisions
  • Shape business and legal terms and deal structures to ensure channel programs and contract terms are compliant, aligned with policies, and manage risk; improve internal processes and procedures to enhance outcomes and transaction velocity
  • Develop, maintain, and refine templates, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools for efficient Legal GTM function
  • Efficiently manage and partner with outside counsel to augment the Legal team
