Candidates must possess a JD and active bar admission, with a minimum of 8 years of relevant legal experience, including over 3 years in an in-house, contracts-focused role. Significant experience in drafting, reviewing, and negotiating commercial contracts is essential, along with comfort working independently in a fast-paced, high-volume environment and strong organizational skills. The ability to provide trusted, risk-based, business-minded guidance with minimal oversight, excellent written and verbal communication skills, and curiosity about business objectives are also required. Experience in healthcare, technology, or high-growth companies, as well as familiarity with data privacy laws, cybersecurity, and AI issues, are strongly preferred.
The Senior Commercial Counsel II will own the legal review and negotiation of various commercial contracts, including marketing, SaaS, master services agreements, NDAs, supply chain, leases, and healthcare partnerships. This role involves prioritizing and managing the contracts queue to drive deals forward efficiently while protecting business interests. Responsibilities include collaborating cross-functionally with business partners to align contracting strategy with business objectives, providing risk-based guidance to stakeholders, improving contracting workflows and forms, and managing outside counsel cost-effectively. The role also requires thoughtful escalation of material risk decisions to leadership.
