Candidates must possess a degree from an ABA-approved law school and be an active member of the Texas state bar. A minimum of seven years of experience in securities/corporate law/government at a major law firm or as in-house counsel is required, along with at least two years of experience in the aerospace, defense, or similar technical manufacturing industries. The role requires a proven track record managing attorneys and outside counsel, broad legal knowledge in areas such as M&A, commercial transactions, government contracts, regulatory compliance, litigation, and intellectual property, and the ability to develop legal strategy and negotiate effectively. Strong leadership, communication, client management, analytical skills, excellent judgment, and a high degree of professional ethics and integrity are essential. Candidates must also have a security clearance or the ability to obtain one. Experience thriving in a fast-paced, rapidly changing environment and working independently with cross-functional clients is necessary.
The General Counsel will provide comprehensive legal counsel and support to executives and senior leaders, spearheading the corporate legal strategy, regulatory and risk compliance programs, and overseeing all legal and regulatory affairs. This includes advising on government and regulatory matters, data privacy, risk mitigation, intellectual property, patents, communications, corporate administration, finance, human resources, and stock incentives, either directly or by coordinating with external counsel. Responsibilities also include ensuring adherence to regulatory requirements such as SEC reporting, export controls, government contracting, FCPA, and FAA regulations. The General Counsel will prepare and review legal documents, advise on legal actions, conduct due diligence for contracts and transactions, provide guidance on corporate governance, create and execute risk management policies, and draft, negotiate, review, and finalize agreements. Developing and implementing intellectual property protection strategies and undertaking other assigned duties and special projects are also key responsibilities.
