Candidates must possess a Juris Doctor (JD) degree from an accredited law school and be an active member in good standing with the State Bar of Texas. A minimum of 5 years of legal experience is required, preferably within the technology industry and with pre-Series C stage companies. Proven experience advising executive teams, managing diverse legal matters, and a strong understanding of contract law, corporate governance, intellectual property, and regulatory compliance are essential. Excellent negotiation, communication, and leadership skills, along with the ability to work independently in a fast-paced environment managing multiple priorities, are also necessary. Prior law firm experience, familiarity with fundraising, M&A, public offerings, nonprofit organizations, and a passion for the company's mission are considered advantageous.
The General Counsel will serve as the company's founding legal advisor, overseeing all legal, compliance, and regulatory matters and balancing legal risk with business objectives. Key responsibilities include developing and implementing legal strategies, ensuring compliance with laws affecting SaaS, FinTech, and nonprofit sectors, and drafting, reviewing, and negotiating various agreements such as commercial contracts, partnership agreements, vendor contracts, and customer terms of service. This role involves managing intellectual property, partnering with Product on global compliance and privacy obligations, acting as primary Product Counsel for Terms of Service and Privacy Policy, identifying legal risks and developing mitigation strategies, advising on corporate governance, and staying updated on relevant legal and regulatory changes. Additionally, the General Counsel will track and forecast the legal budget and deliver quarterly legal-risk reports.
