Role Description

As our first in-house legal hire, reporting to the CEO, the General Counsel will serve as Givebutter's founding legal advisor, overseeing all legal, compliance, and regulatory matters. This role requires a proactive leader who can balance legal risk with business objectives, enabling Givebutter to scale responsibly and effectively.

Key Responsibilities

Legal Strategy & Compliance

  • Develop and implement legal strategies that align with Givebutter's mission and business goals.
  • Ensure compliance with applicable laws and regulations, particularly those affecting SaaS, FinTech, and nonprofit sectors.

Contract Management

  • Draft, review, and negotiate a wide range of agreements, including commercial contracts, partnerships, vendor contracts, customer terms of service, etc.
  • Deep fluency in commercial contracts, payments regulation (e.g., KYC/AML, card‑network rules), and data privacy (GDPR, CCPA).

Risk Management

  • Identify potential legal risks and develop mitigation strategies to protect the company and its stakeholders.

Corporate Governance

  • Advise the executive team and board on corporate governance matters, ensuring best practices are followed.

Intellectual Property

  • Manage and protect Givebutter's intellectual property portfolio, including trademarks and copyrights.
  • Partner with Product to execute global compliance and privacy obligations; act as primary Product Counsel owning Terms of Service and Privacy Policy.

Regulatory Affairs

  • Stay abreast of changes in laws and regulations that impact the company, providing timely updates and guidance to the leadership team.
  • Track and forecast legal budget; deliver quarterly legal‑risk report to Finance & Board.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the State Bar of Texas.
  • 5+ years of legal experience, preferably in the technology industry and pre-series C stage companies.
  • Proven experience in advising executive teams and managing a broad range of legal matters.
  • Strong understanding of contract law, corporate governance, intellectual property, and regulatory compliance.
  • Excellent negotiation, communication, and leadership skills.
  • Ability to work independently in a fast-paced, dynamic environment while managing multiple priorities.

Nice-to-Haves

  • Previous experience at a law firm in addition to in-house counsel roles
  • Experience with fundraising, mergers and acquisitions, or public offerings.
  • Familiarity with nonprofit organizations and related legal considerations.
  • Passion for Givebutter's mission and a commitment to supporting the nonprofit community.
