Requirements

Candidates must possess a J.D. from an accredited law school and be admitted to practice in at least one state bar. A minimum of 7 years of relevant experience in U.S. securities laws and domestic/international M&A, preferably with a mix of law firm and in-house experience, is required. Deep knowledge of U.S. securities laws, M&A transactions, and corporate governance is essential. Experience in the technology sector and with intellectual property driven transactions is a strong plus. Strong leadership, drafting, negotiation, and analytical skills are necessary, along with the ability to prioritize, multitask, and collaborate effectively within a global team and fast-paced environment. Familiarity with international M&A and cross-border regulatory issues is also beneficial.

Responsibilities

The Associate General Counsel will advise on U.S. federal securities law compliance, including preparing and reviewing SEC filings and monitoring NYSE listing requirements. Responsibilities include ensuring compliance with Irish corporate governance law, supporting board meetings, and advising on insider trading policies and Section 16 filings. The role involves serving as a lead attorney on domestic and international M&A transactions, handling deal structuring, drafting, negotiation, and post-closing integration. Additionally, the position requires advising on regulatory matters related to M&A, providing legal support for financing transactions and joint ventures, managing outside counsel, and coordinating with internal functions such as corporate development, tax, finance, and HR.
