The Corporate Counsel will report to the Head of Legal and will be the second member of the legal team. This is an outstanding entry-level opportunity for a corporate attorney to manage routine and emerging legal issues, provide counsel, and contribute to the administration of our legal department.
Responsibilities
- Personally negotiate, draft, review, and advise on key company agreements, including customer, vendor, and partner contracts, as well as Non-Disclosure Agreements (NDAs).
- Collaborate with the company’s Deal Desk to enhance contracting processes, select a contract management system, and implement automation in the sales contract process.
- Contribute to the legal team's handling of various matters, including:
- Data privacy and security
- Legal considerations for products
- Litigation and disputes
- Internal investigations
- Ethics and compliance
- HR/Employment law
- M&A diligence and integration
- Assist the Head of Legal with corporate governance, financing, and equity-related issues.
- Effectively collaborate with colleagues across the company and with outside counsel.
- Research, anticipate, and safeguard the company against emerging legal risks.
- Serve as a trusted advisor to the leadership team on legal matters crucial to business growth.
- Provide pragmatic advice and recommendations.
- Develop a strong understanding of R365’s industry, operations, products, and sales model to mitigate risks and devise creative, cost-effective legal solutions.
- Maintain up-to-date knowledge of the organization’s operations and legal documents.
Requirements
- Approximately 1-3 years of corporate legal experience, either with a law firm or an in-house legal department.
- Juris Doctor (JD) degree from an ABA-Accredited University and a Bachelor's degree.
- Licensed to practice law in at least one U.S. state or the District of Columbia.
- Proven experience in negotiating, drafting, reviewing, and advising on contracts.
- Exceptional verbal, written, and interpersonal communication skills, with a demonstrated ability to work collaboratively.
- Pragmatic approach with appropriate risk tolerance for a high-growth business environment.
- Flexibility and tenacity in solving complex legal and business challenges.
- Strong research and organizational skills, including meticulous attention to detail, a creative mindset, and the ability to transition seamlessly between tasks.
- Ability to work independently on projects, manage multiple priorities, and meet deadlines.
- Intellectual curiosity and a strong motivation to learn about diverse topics, including general corporate matters, employment issues, vendor and customer relationships, and regulatory risk management.
- A bias for action in situations requiring decisions with incomplete information.
Compensation & Benefits
- Salary Range: $100,000 - $130,000 per year. (Actual salary will be determined based on factors such as relevant skills, experience, time in role, business line, and geographic location.)
