The candidate should possess 3+ years of experience in contract management or compliance, or 2+ years of experience in an in-house legal or contracts department, preferably within a software company and with experience in a professional services environment. Experience in the healthcare and/or technology industry is preferred. A post-secondary education in Business, Commerce, Law, or a related field, or equivalent experience, is required. Strong demonstrated experience in taking ownership and driving contract negotiations to completion collaboratively with key cross-functional teams and stakeholders in a timely manner is essential. Exceptional oral and written communication skills, with strong persuasion and consensus-building abilities across diverse stakeholders, are also necessary.
The Contracting Specialist will prepare, review, negotiate, and administer commercial agreements, including software license agreements, partner agreements, vendor contracts, NDAs, and service agreements. They will collaborate with cross-functional teams such as sales, delivery, compliance, procurement, finance, and operations to ensure contract terms meet legal, financial, and operational standards. This role involves implementing and updating policies, procedures, and best practices for contracts and procurement, as well as supporting the end-to-end RFP process and reviewing vendor contracts. The specialist will maintain an organized contract management system, provide guidance on contractual risk, recommend strategies to improve terms and reduce liabilities, and assist in maintaining a vendor database. Ensuring compliance with all related laws and regulations and developing reports for cross-functional teams and leaders are also key duties.
