Requirements

  • Experienced legal strategist with at least 5 years of legal experience, including a combination of experiences in-house at a SaaS or technology company and law firm
  • Deep experience in drafting and negotiating SaaS agreements, MSAs, licensing agreements, and NDAs with enterprise clients, vendors, and integration partners
  • Experience creating and maintaining standard terms, playbooks, fallback provisions, and contract templates
  • Experience managing legal workflows and implementing contract lifecycle management (CLM) tools
  • Experience identifying and mitigating legal, compliance, IP, and privacy risks in contracts
  • Must be admitted to practice law and in good standing in at least one U.S. state or the District of Columbia. Active bar membership in the jurisdiction where the position is based (or eligibility for in-house counsel registration, if applicable) is required
  • Plus: In-house experience with a fintech or RIA

Responsibilities

  • Draft, review and negotiate a wide variety of commercial agreements, including enterprise, third party vendors and commercial deals
  • Support sales teams during deal cycles by reviewing and revising contracts to align with company policies and risk tolerance
  • Identify and mitigate legal and business risks in commercial engagements while supporting growth
  • Ensure contracts comply with relevant data privacy regulations and work with security teams to manage DPAs, etc
  • Develop internal training programs for go-to-market teams on contracting processes and legal risks
  • Advise internal stakeholders on legal risks and benefits to commercial terms, intellectual property, privacy and use of open-source software
