Requirements

Candidates must have at least 5 years of in-house experience, preferably in a technology company, with a strong focus on strategic alliances, high-volume complex partner agreement negotiation, partner program support, and advising on channel sales laws and regulations. Familiarity with privacy and information security legal issues for data protection agreements is required. Admission to a U.S. state bar in good standing or equivalent authorization to practice law is necessary. Experience with the SaaS business model, channel partnerships at scale, distributors, and international markets is also required.

Responsibilities

The Senior Counsel will provide legal counsel to the channel sales organization on global partner programs, advising on legal risks such as anti-bribery, anti-corruption, third-party risk, anti-trust, and competition law. They will draft, review, and negotiate various partnership and alliance agreements, including resale, subcontractor, referral, systems integrator, managed services, cloud marketplace, and technology partnerships. Responsibilities also include advising on contract interpretation and negotiation, responding promptly to legal advice requests from business teams, summarizing legal concepts for business users, supporting the continuous improvement of standard agreements and processes, and managing a heavy workflow by setting priorities and delivering results efficiently.
