Requirements

  • 5+ years of contract management or similar experience in a SaaS or technology environment
  • Strong experience drafting and negotiating B2B commercial agreements, particularly SaaS subscription agreements and NDAs
  • Demonstrated success supporting Sales teams and collaborating with cross-functional stakeholders
  • Experience leading or administering a CLM platform, ideally Ironclad
  • Excellent project management skills with the ability to balance contract turnaround with broader operational initiatives
  • Strong understanding of core contractual concepts (confidentiality, limitation of liability, indemnification, and data security)
  • Outstanding communication skills and a pragmatic, business-oriented approach to risk
  • (Preferred) Familiarity with Salesforce and AI-based contract review tools

Responsibilities

  • Review, draft, and negotiate sales-focused commercial agreements, including SaaS subscription agreements, order forms, renewals, amendments, and NDAs
  • Act as a primary contracting partner to the Sales team, providing strategic guidance to accelerate deal cycles and ensure alignment with SmartBear’s commercial and risk positions
  • Partner closely with Sales, Finance, Deal Desk, and Security to move deals through internal approvals and resolve contract-related questions
  • Review, draft, and negotiate customer-facing commercial agreements, including SaaS subscription contracts, order forms, and amendments
  • Serve as a key business partner to the Sales organization, providing guidance to ensure deals align with SmartBear’s risk tolerance and operational standards
  • Collaborate with internal stakeholders such as Finance, Deal Desk, and Security to facilitate deal approval and execution
  • Own and manage SmartBear’s Contract Lifecycle Management (CLM) program (Ironclad), ensuring workflow optimization, data accuracy, and efficiency
  • Support ongoing operational initiatives across contracts, systems, and tools—including template maintenance, SOP updates, and training materials
  • Provide support for customer diligence, including RFP responses, supplier documentation, and compliance inquiries
