Requirements

The Commercial Counsel requires a Juris Doctor degree and a license to practice law in at least one state, along with a minimum of four years of experience in a law firm or in-house setting, specializing in transactions or commercial contracts. In-house experience drafting and negotiating SaaS agreements and data processing agreements is preferred, alongside strong written and verbal communication skills, a passion for partnering with Sales and closing revenue deals, and the ability to translate between business and technical risk.

Responsibilities

The Commercial Counsel will draft, review, and negotiate master services agreements and DPAs with customers, collaborating closely with Sales, Customer Success, and Support teams to finalize revenue deals. They will also draft and negotiate a variety of commercial agreements, including partnership and reseller agreements, and work with the Associate General Counsel - Product & Privacy on disclosure language and terms of service updates. Furthermore, the role involves providing legal advice on intellectual property, privacy, regulatory, and employment law, identifying gaps, and delivering training to go-to-market teams regarding contracting processes and terms, as well as assisting with other legal support tasks as needed.
