The Commercial Counsel will serve as the primary point of contact for all contract-related matters, encompassing both vendor and customer agreements. The ideal candidate will possess strong commercial acumen and a practical approach to drafting agreements. This role involves educating stakeholders, gaining a deep understanding of the business, and developing scalable processes.

Responsibilities

  • Draft, review, and negotiate master services agreements and DPAs with customers, collaborating closely with Sales, Customer Success, and Support teams to facilitate the closure of new and renewal revenue deals.
  • Draft, review, and negotiate a variety of other commercial agreements, including partnership agreements, reseller agreements, and vendor agreements.
  • Collaborate with the Associate General Counsel - Product & Privacy on drafting disclosure language, updating terms of service, and addressing other contractual needs.
  • Provide legal counsel on commercially related areas such as intellectual property, privacy, regulatory matters, and employment law.
  • Identify contractual gaps and develop resources and training for go-to-market teams regarding contracting processes and terms.
  • Assist with other legal support tasks as they arise.

Requirements

  • Juris Doctor (JD) degree and a license to practice law in at least one state.
  • A minimum of 4 years of experience in a law firm or in-house legal department, with a focus on transactions or commercial contracts.
  • Experience in drafting and negotiating SaaS agreements and data processing agreements, preferably gained in-house at a technology company.
  • Excellent written and verbal communication skills.
  • A genuine passion for partnering with Sales teams and contributing to revenue generation.
  • The ability to translate between business and technical risks and communicate effectively with both business and technical stakeholders.
  • Strong attention to detail.
  • Demonstrated self-initiative, driven by a desire for impact and achievement.
  • Comfort working in fast-paced environments and the ability to prioritize effectively and communicate clearly with diverse stakeholders.
