Candidates must have 5+ years of experience in technology transactions, specifically negotiating SaaS subscription agreements, license and support agreements, and professional services agreements with large enterprise customers. Experience with open source licensing and business models, negotiating privacy terms including DPAs, and working cross-functionally is required. Familiarity with technical concepts in web applications and a willingness to learn new technologies are also necessary. A license to practice law in one or more states, an undergraduate degree, and a law degree are mandatory. Experience with DPPA and BAA negotiation, and negotiating with regulated industries like healthcare, financial services, and telecommunications are considered advantageous.
The Commercial Counsel will provide primary support to the Americas Sales Team, structuring, drafting, and negotiating complex commercial agreements and various privacy addendum agreements and security terms. This role involves working on cutting-edge projects to scale and improve departmental efficiency, training and interacting with sales teams, third-party partners, and customers, and partnering with cross-functional teams to resolve issues related to complex commercial transactions. The individual will act as an independent worker and thought leader, using sound judgment to address complex issues while balancing legal and business requirements.
