Requirements

Candidates must possess a J.D. degree from an accredited institution and be admitted to a state bar in good standing. A minimum of 5 years of relevant legal experience is required, preferably with healthcare providers or payors. Strong skills in drafting, analysis, research, organization, and interpersonal communication are essential. Experience with payor and health system contracting, joint ventures, and hospital-physician alignment is necessary, along with a solid understanding of value-based care financial structures and healthcare regulatory frameworks like Stark Law, Anti-Kickback Statute, and HIPAA. Proven ability to provide business-focused legal advice in a fast-paced environment and navigate ambiguity with strong communication and problem-solving skills is also required.

Responsibilities

The Senior Counsel will lead the negotiation and drafting of commercial agreements with private payors, government entities, and provider organizations, focusing on value-based care models. They will act as the primary legal advisor for EHR licensing, customization, and support agreements. Responsibilities include collaborating with cross-functional teams to ensure contract alignment with business and regulatory requirements, advising on product features and data-sharing arrangements with a focus on privacy regulations, and developing playbooks and templates to standardize contracting processes. Additionally, they will advise teams on legal risks, regulatory issues, and strategic decision-making.
