Requirements

  • J.D. from an accredited law school with strong academic credentials
  • Active Bar admission in any U.S. state
  • Considerable legal experience efficiently drafting commercial agreements without significant assistance
  • Risk Management: Knowledge of processes, tools and techniques for assessing and controlling an organization's exposure to risks of various kinds; ability to apply knowledge of risk management appropriately to diverse situations
  • Decision Making and Critical Thinking: Knowledge of the decision-making process and associated tools and techniques; ability to accurately analyze situations and reach productive decisions based on informed judgment
  • Effective Communications: Ability to concisely and accurately convey important legal risks to business clients, including leadership
  • Managing Multiple Priorities: Knowledge of effective self-management practices; ability to manage multiple concurrent objectives, projects, groups, or activities, making effective judgments as to prioritizing and time allocation
  • Problem Solving: Knowledge of approaches, tools, techniques for recognizing, anticipating, and resolving organizational, operational or process problems; ability to apply knowledge of problem solving appropriately to diverse situations
  • Resource Management: Knowledge of the resources required to achieve business objectives; ability to plan, mobilize and distribute resources to fulfill business objectives and plans
  • Legal Analysis: Knowledge of methods and tools used in legal analysis; ability to read, interpret and draw accurate conclusions from both legal and factual information
  • Legal Function: Knowledge of the major responsibilities, accountabilities, and organization of the legal function or department; ability to provide legal consulting, advice and assistance
  • Comfortable managing a large volume of commercial matters, skilled at prioritization, and able to adjust quickly to accommodate business needs

Responsibilities

  • Draft and negotiate a wide variety of commercial agreements, primarily focused on procurement relationships
  • Work with internal clients to ensure agreements accurately reflect business needs and protect Caterpillar
  • Counsel business clients on risks inherent in agreements
  • Work with Caterpillar’s regional and substantive lawyers to ensure agreements properly reflect Enterprise risk tolerances and are otherwise drafted and managed in accordance with Enterprise Board Resolutions, Policies, and Procedures
  • Work with outside counsel on a limited, but as needed basis
  • Maintain excellent relationships with internal clients and colleagues to be a valued member of the Caterpillar Legal team
  • Provide legal support on commercial transactions and advice and counsel related to Caterpillar’s relationships with its strategic suppliers
  • Frequent interaction with business clients, including Caterpillar’s senior procurement and product group leadership, as well as with other lawyers within Law, Security & Public Policy
