Requirements

Leadership experience managing a team of professionals responsible for drafting, negotiating, and finalizing IT and Non-IT contracts
Expertise in corporate contract and purchasing policies
Ability to represent Enterprise Procurement on project teams involving CVS senior leadership for strategic initiatives, savings, policy enforcement, regulatory compliance, supplier diversity, and M&A supplier integration
Strong analytical skills to review contract requirements, provisions, terms, and conditions for compliance with laws, regulations, policies, and procedures
Excellent communication skills to convey terms and conditions to internal and external stakeholders
Experience interacting with subject matter experts (e.g., Legal, Sourcing, Global Security, Information Governance, Risk Management, Privacy, Tax, Finance)
Partnership skills with Sourcing for RFP development, including providing contractual documentation and handling legal questions
Ability to act as key point of contact for escalated contract issues and disputes
Proficiency in identifying and escalating contractual risks (e.g., limitation of liability, waiver of consequential damages)
Comfort participating in presentations, webinars, and roundtable discussions

Responsibilities

Draft, prepare, and review contract documents in accordance with company policies to minimize exposure and maximize benefits
Lead supplier contract exercises by negotiating key legal and business terms for risk mitigation and enterprise value
Analyze contract requirements, provisions, terms, and conditions for compliance with laws, regulations, policies, and procedures
Communicate required terms and conditions effectively to internal and external stakeholders
Interact with CVS subject matter experts to ensure policies and procedures are reflected in contracts and vendor communications
Partner with Sourcing to develop RFPs, provide contractual documentation, answer legal questions, and highlight problematic provisions
Serve as key point of contact between Legal, Finance, senior leadership, business teams, and vendors for escalated contract issues and disputes
Identify and escalate contractual risks to Senior Leadership for investigation and advisement
Participate in presentations, webinars, and roundtable discussions to engage and educate business units
