Requirements

Knowledge of corporate contract and purchasing policies
Ability to draft, prepare, and review contract documents in accordance with company policies and procedures
Skills in negotiating key terms of contract documents, including legal and business terms
Capability to analyze contract requirements, provisions, terms, and conditions for compliance with laws, regulations, corporate policies, and business unit procedures
Experience performing work on special projects with visibility to senior leadership
Ability to implement change and lead larger projects by managing teams of Contract Analysts
Strong communication skills to convey terms and conditions to internal and external stakeholders
Proficiency in regular communication with internal team members and business partners
Experience interacting with subject matter experts from Legal, Sourcing, Information Security, Risk Management, Privacy, Tax, Finance, and other areas
Ability to partner with Sourcing colleagues on RFP development and negotiations
Skills in acting as key point of contact for escalated contract issues and disputes

Responsibilities

Draft, negotiate, and finalize IT and Non-IT deals and contractual documents for non-merchandise goods and services
Lead and/or represent Enterprise Procurement on project teams for enterprise-wide strategic initiatives, savings initiatives, policy enforcement, supplier diversity, and M&A supplier integration
Draft, prepare, and review contract documents to minimize exposure and maximize benefits
Negotiate all key terms of various contract documents for risk mitigation and enterprise value
Analyze contracts to ensure compliance with laws, regulations, policies, and procedures
Perform special projects as assigned by management
Implement change and lead projects by managing Contract Analysts for high-visibility engagements
Communicate required terms and conditions to internal and external stakeholders
Collaborate with internal teams and partners to draft, negotiate, and document scopes of work, SLAs, financial incentives, etc
Interact with CVS subject matter experts to reflect policies in contracts and vendor communications
Partner with Sourcing on RFPs, provide contractual documentation, answer legal questions, and highlight issues for award decisions
Serve as key point of contact between Legal, Finance, Senior Leadership, business teams, and vendors for escalated contract issues and disputes
