Requirements

  • Minimum 5-9 years of experience drafting and negotiating commercial SaaS contracts (combination of law firm and in-house experience preferred)
  • Experience with a variety of commercial contracts, including vendor, software, professional services, and consulting arrangements
  • Experience in technology law issues such as software and application licensing, artificial intelligence, cybersecurity and data privacy, cloud, SaaS, and intellectual property
  • Able to act quickly and decisively in a fast-paced environment, balancing multiple deals while managing within the organization's risk tolerance
  • Highly effective verbal and written communication skills for partnering with stakeholders and building relationships outside of the legal team
  • "Roll up your sleeves," curious and team-oriented mindset, with a sense of humor and demonstrated growth mindset
  • Experience working within a B2B sales environment
  • Juris Doctor (J.D.) degree from an accredited U.S. law school, and active admission in at least one State Bar
  • Proficient in MS Office Suite, and familiar with G-Suite and Slack
  • Located within the United States
  • Demonstrated ability to balance legal risk with business objectives

Responsibilities

  • Draft and negotiate SaaS agreements, NDAs, and other commercial documents to support Sales, Customer Success, Order Management, and Finance teams to facilitate quick deal closures
  • Partner with the business, including IT, InfoSec, and HR, to analyze, onboard, draft, and negotiate vendor agreements in support of procurement requirements
  • Provide practical legal guidance in a digestible manner
  • Contribute to the ongoing development of the Legal team’s processes, including development or refinement of templates, playbooks, policies/procedures, workflows, and trainings
  • Work independently with limited supervision, while supporting the team culture within the Legal group and across the organization
  • Align with and fully support the organization’s goals and human-centered culture
  • Partner closely with, and provide advice to, business teams participating in operational decisions and initiatives
  • Assist with coordination of outside counsel on specific issues or proceedings, as needed
  • Support cross-functional initiatives to improve contract processes and reduce cycle times
  • Assist with training for business teams on contract processes and legal requirements
  • Help identify legal and business risks in evolving business models and recommend solutions to mitigate exposure
  • Participate in the development of legal department policies and best practices
