Requirements

  • Bachelor’s degree
  • Valid Ontario Notary License
  • Law clerk designation (benefit)
  • 4-5 years’ experience as a paralegal in a multi-jurisdictional company with operations in Canada and the United States, preferably in a large corporate legal setting or law firm
  • Background supporting mergers, acquisitions, reorganizations, entity formations, dissolutions
  • Experience with global entity management and corporate governance
  • Experience using legal entity management software (e.g., Diligent) (benefit)
  • Excellent organizational and recordkeeping abilities
  • Excellent verbal and written communication skills
  • Strong understanding of corporate law and compliance requirements
  • Proficient in drafting resolutions, minutes, and standard legal agreements
  • Demonstrated ability to sustain attention to detail, focus on accuracy, and agility in adapting to changing environments

Responsibilities

  • Work with the Corporate Secretary and General Counsel to maintain accurate and up-to-date corporate records for a large portfolio of entities, ensuring proper recording and management in the company’s legal entity management system (e.g., Diligent)
  • Maintain and monitor legal entities across all jurisdictions to ensure good standing, including regular communication with registered agents for timely filing of annual returns and regulatory requirements, and preparing/submitting certain filings in-house
  • Draft and manage various corporate transactions and legal agreements (e.g., loan agreements, service agreements, share transfer agreements, option agreements, subscription agreements), collaborating with internal and external counsel
  • Prepare and maintain governance and organizational documents in corporate minute books (e.g., articles and certificates of incorporation, by-laws, operating agreements, resolutions, meeting minutes, share certificates, share/stock registers) in conjunction with legal counsel
  • Support responses to due diligence, regulatory, and audit inquiries
  • Conduct biannual reconciliations between the legal entity management system, internal accounting records, and physical/digital minute books to ensure consistency and resolve discrepancies
  • Manage formation of new legal entities (e.g., Corporations, Partnerships, LLCs, Not-for-profits, Trusts, ULCs), coordinating with internal and external departments
  • Coordinate dissolution of legal entities
  • Coordinate corporate reorganizations
  • Handle trademark and patent renewals
  • Provide support for annual general meetings
