Requirements

  • Current member in good standing of the California State Bar or registered in-house counsel
  • Law degree from a top law school with excellent academic credentials
  • 7+ years of combined law firm and/or in-house experience, with a mix of both being a plus
  • Significant experience leading complex and strategic investments
  • Practical and academic knowledge within venture investments, with a proactive approach to recognizing needs, anticipating issues, and solving problems
  • Experience collaborating with senior leadership and the ability to engage with staff at every level
  • Excellent legal and business judgment with a keen attention to detail
  • Creative thinking, independence, and proactive work style in a fast-paced environment

Responsibilities

  • Evaluate, structure, negotiate, draft, and provide advice on strategic investments in private and public companies, including SAFEs, debt/equity securities, and registered investments in public companies
  • Review and draft NDAs, deal structures, term sheets, LOIs, due diligence, and other legal documents
  • Lead cross-functional teams to complete transactions
  • Assist in legal due diligence across corporate, commercial, IP, and other areas, bringing to bear internal legal specialists
  • Negotiate and draft commercial and collaboration agreements related to strategic investments and partnerships
  • Develop strategies to improve the deal process and execution
