Responsibilities

Participate in Buy-side & Vendor Due Diligence for acquirers or sellers (enterprises or investment funds), including analysis of current IT system performance and its contribution to company value (review of application environment, infrastructures, organization, projects, and associated costs)
Identify risks and value creation opportunities for future investors (key IT synergies levers and financial implications)
Analyze IT separation topics in the context of a carve-out
Assist clients in Post-Merger Integration (PMI) & Separation (Carve-out) pre-closing and/or post-closing, including identification of IT integration/carve-out challenges and their implications on business functions
Define and negotiate transition contracts, develop implementation plans, and monitor their execution
Elaborate integration/carve-out strategy, support definition of target blueprint and target IT operational model
Assist in preparation and monitoring of Day-1 execution (preparation for takeover)
Collaborate with multidisciplinary M&A teams (M&A Operations, Transaction services, Valuation, etc.) on technology and IT systems aspects throughout the transaction lifecycle (Pre-deal to Post-Deal)
