Requirements

  • Experienced in-house counsel with expertise in legal requirements for Finance, IT/Digital, Workplace Services, HR, and EPMO departments
  • Expertise in cross-border contracts, dealing with internal stakeholders and counterparties globally
  • Well-versed in managing Contract Lifecycle Management Platform (e.g., Ironclad)
  • Strong experience in stakeholder management and communication to coordinate with global stakeholders
  • Highly motivated with dedication, integrity, and creative spirit

Responsibilities

  • Serve as a strong Legal Business Partner for relevant departments (Finance, IT/Digital, Workplace Services, HR, EPMO)
  • Gain deep understanding of business, products, strategies, transactions, and issues by aligning with departments
  • Regularly attend meetings, proactively identify legal issues and risks, provide solutions, and mitigate risks
  • Ensure all legal requirements are completed within stipulated timelines to facilitate smooth transactions
  • Preemptively track important dates and events, and take actions accordingly
  • Work closely with India General Counsel and other legal team members
  • Draft, review, and negotiate contracts (domestic and cross-border), including Service Agreements, SaaS Agreements, Consulting Agreements, Subscription Agreements, Lease Agreements, Engagement Letters, Offer Letters, Employment Agreements, Scope of Work, Change Orders, Purchase Orders/Terms and Conditions, and related amendments, addendums, assignments, and terminations
  • Develop playbook/checklist for frequently used contracts and ensure agreements are drafted, negotiated, and executed per playbook/checklist in a timely manner
  • Ensure risk mitigation, protection of intellectual property, and commercial interests through contracts
  • Inform and guide stakeholders on interpretation and purposes of contract provisions
  • Identify and assist stakeholders with resolution of issues affecting contract completion; format documents for finalization; manage legal contracts folders
  • Gather, quantify, and report on legal department metrics
  • Manage and oversee Azurity’s contract lifecycle using Ironclad, ensuring contracts are properly handled
