Requirements

J.D. from an ABA-accredited law school and active license to practice law (admission to the bar in Tennessee)
3-5+ years of relevant legal experience, including supporting procurement or sourcing departments in commercial transactions
Exceptional contract drafting and negotiation skills
Excellent legal and business judgment, with ability/willing to learn new areas of law
Ability to work efficiently in a demanding, fast-paced environment, prioritize, work without supervision, and manage multiple matters with competing deadlines
Ability to provide business-oriented legal advice and identify, mitigate, and explain risks to senior executives
Excellent written and verbal communication skills
Strong judgment, confidence, collaborative problem-solving skills, and ability to spot potential issues quickly
Ability to independently handle a variety of legal matters in a timely fashion while collaborating with more experienced legal counsel
Exceptional ability to schedule and prioritize work for on-time responses to changing demands
Highly organized and driven to thoroughly understand issues and legal implications

Responsibilities

Lead legal efforts on contract issues, including drafting agreements, negotiating, and overseeing administration of contracts (e.g., vendor agreements, consulting agreements, software/cloud, and other business agreements)
Negotiate and draft AI-related language in contracts, advise on AI-related legal risks, collaborate cross-functionally to establish compliant AI practices, identify evolving AI legal requirements, and evangelize legal considerations for AI development, deployment, and use
Review contracts to identify privacy risks, draft language including Data Processing Agreements, ensure compliance with privacy laws (e.g., CPRA, UK GDPR), provide strategic advice on managing privacy risks for new products/features, and conduct research on emerging privacy issues
Identify, mitigate, and explain risks to senior-level executives
Manage outside counsel relationships
Provide strategic legal support for procurement needs across business functions and handle a wide variety of operational matters on an as-needed basis
Other duties as required based on business and legal needs
