Requirements

  • Law degree (JD) from an ABA-accredited US law school
  • Admitted to practice law in at least one state
  • Minimum 5 to 10 years of experience as a practicing attorney with experience in M&A transactions

Responsibilities

  • Draft documents, negotiate and provide counsel with respect to mergers, acquisitions, and other commercial transactions
  • Ensure personnel of newly acquired operations are trained to comply with company policy and federal, state and local laws, rules and regulations
  • Assist with employment and human-resources related legal matters
  • Review, interpret and negotiate contracts
  • Participate in the completion of real estate purchase and sale transactions as part of M&A
  • Research substantive law and prepare various reports as required
  • Manage the compliance portion of the due diligence process related to mergers and acquisitions
  • Prepare reports for the Board of Directors related to the M&A process
  • Participate in the integration and on-boarding of acquired targets
  • Assist in providing legal support for initiatives within the company’s corporate venture capital group
  • Performs other duties as required
