Requirements

  • 2–3 years of relevant experience in commercial contracting, with strong exposure to SaaS and cloud agreements
  • Experience at a law firm and/or as in-house counsel at a technology/software/cloud company (global experience a plus)
  • Solid knowledge of contract law and key issues in licensing, distribution, and intellectual property
  • Demonstrated ability to draft and negotiate complex agreements with confidence and professionalism
  • Strong organizational skills and ability to manage multiple priorities in a fast-moving environment
  • Excellent written and verbal communication skills, with the ability to explain legal concepts clearly to non-lawyers
  • Law degree from an accredited university and admission to practice in at least one jurisdiction
  • Detail-oriented, organized, and motivated to learn
  • Hands-on, dependable, and results-driven, with a strong sense of ownership
  • Collaborative and team-focused, committed to supporting colleagues and building positive working relationships
  • Adaptable and resilient, able to handle shifting priorities with urgency and focus

Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts, including SaaS and cloud agreements, reseller/distributor/OEM agreements, software licenses, intellectual property partnerships, data center agreements, and professional services agreements
  • Partner with stakeholders across the business to ensure agreements are clear, accurate, and aligned with company policies and risk tolerance
  • Translate legal concepts into practical advice for business partners, including guidance on contract structures, approval processes, and compliance requirements
  • Maintain and update contract templates and playbooks; help improve contract management processes
  • Assist in developing and implementing corporate policies, procedures, and training on contracting best practices
  • Review non-standard agreements to ensure compliance with company standards and regulatory requirements
