Requirements

  • Experience analyzing data and the ability to use data to drive insights and decision-making; strong quantitative analysis skills
  • Basic to expert knowledge of core contracting concepts, including the Uniform Commercial Code (UCC), and applicable international or public contract law and regulations
  • Comfortable presenting to and partnering with executives to solve complex business challenges
  • Strong communication skills for internal and external negotiation and collaboration
  • Ability to draft clear, concise, and non-ambiguous contractual language
  • Skill in managing the contract redlining process, including using track changes or redlining tools and adding comments to explain revisions
  • Knowledge of best practices for maintaining clean version control throughout the negotiation process

Responsibilities

  • Drafting, reviewing, and redlining a variety of contractual instruments, which may range from simple to moderate complexity
  • Analyzing contract requirements, special provisions, and terms and conditions to ensure compliance with relevant laws, regulations, and corporate policies and procedures
  • Providing contractual guidance to business team members (including sales) to ensure terms are realistic for the company and align with business objectives before execution
  • Monitoring possible compliance issues and ensuring that agreed-upon terms are executable by the company, including consulting with other internal departments (e.g., accounting)
  • Collaborating with sales/business teams on contract negotiations
