Requirements

Legal subject matter expertise in negotiation of contractual frameworks for investment products and services
Knowledge of fund structures, particularly OEICs/ICVCs in the UK, cross-border distribution, and investment management agreements
Experience with asset management assignments in EMEA and the UK, including a solid understanding of the asset management industry in the UK and EMEA
Ability to provide guidance and expertise on corporate secretarial work for T. Rowe Price International Ltd, its European subsidiaries, and EMEA funds
Commercially minded approach
Experience working closely with Legal Counsel in London and Luxembourg

Responsibilities

Review and update fund documents and materials, particularly relating to the T. Rowe Price Funds OEIC and its prospectus
Work closely with colleagues in legal and product management on FCA submissions, ongoing dialogue with the regulator, and coordinating advice with external legal counsel
Review and negotiate fund distribution/platform and purchase agreements; work with product management and intermediary liaison to identify and resolve legal, commercial, and operational issues
Review and negotiate separate account advisory and investment management agreements and amendments for institutional clients (e.g., banks, pension funds, sovereign wealth funds); assist in RFPs; collaborate with client onboarding, investment, and sales teams
Undertake complex legal projects and investment solutions launches, covering FCA consultations, policy statements, ESG, etc.; conduct research and summaries for senior legal and business colleagues
Review and negotiate general contracts (not directly related to separate account clients or funds); implement intra-group arrangements for tax, legal, or regulatory purposes (e.g., transfer pricing/intra-company settlements)
Ensure continuing registration and corporate obligations are tracked and met by liaising with regulators, external legal counsel, internal finance, compliance, and tax teams
Monitor relevant regulatory developments and advise the business accordingly
Provide legal advice and support to T. Rowe Price’s business operations in EMEA and Latin America, with a focus on EMEA and the UK
Handle general project work as needed for the region
