College degree and/or paralegal certificate, or an equivalent combination of education and experience
Minimum 5 years of corporate paralegal experience
Substantial public company corporate governance experience, including supporting SEC filings, strongly preferred
Experience with Workiva, Diligent, Active Disclosure, and similar governance and SEC filing platforms strongly preferred
Excellent organizational skills and attention to detail
Strong verbal and written communication skills
Exceptional drafting, analytical, proofreading and critical thinking skills
Self-starter who can handle multiple assignments, work well under pressure, and have flexibility to assist the team on accelerated schedules
At ease working in a multicultural environment and interacting effectively with individuals at all organizational levels, including directors, senior management, and functional leaders
Able to work independently, plan, and take initiative to accomplish objectives on time with minimum supervision
Team player while effectively and efficiently using company resources
Able to work with a high level of discretion and confidentiality
Self-starter mentality with the ability to work well under pressure, thrive working under limited direction, and an attitude that no job is too challenging or too small
Spanish language fluency a plus
Notary certification (or willingness to obtain)
Responsibilities
Support the preparation and filing of SEC filings, including proxy statements and 8-Ks
Draft and provide comprehensive legal and filing support for Section 16 reporting
Manage and coordinate compliance with NYSE listing standards
Maintain a comprehensive, annual regulatory and event calendar
Monitor, analyze, and evaluate corporate governance developments, trends and practices
Assist with project tasks and project management responsibilities, as assigned
Collaborate with cross-functional teams, including compliance, IT and investor relations
Act as point person for both internal and external contacts with little to no supervision, projecting a highly professional image
Prepare and proofread presentations and other needed materials for board meetings
Work independently to execute assignments on behalf of executive(s)
Participate in the development and implementation of policies and practices for the organization
