Requirements

  • Experience supporting boards of directors, committees, and members in governance roles
  • Expertise in preparing and distributing board/committee materials, records, and ensuring corporate requirements (articles, bylaws, filings) are met
  • Knowledge of developing and maintaining corporate governance policies, standards, procedures aligned with strategic objectives
  • Proficiency in creating, negotiating, and managing client-facing contracts, including drafting compliant language, monitoring performance, and handling renewals
  • Oversight experience in compliance functions, including policies for clients, agreements, and fee/price calculations
  • Familiarity with quality management systems (QMS), internal auditing, Numeris Compliance standards, and Media Ratings Council (MRC) standards
  • Understanding of privacy laws (e.g., PIPEDA, provincial statutes), SOC 2, and supporting privacy offices with policies, procedures, training, and regulatory monitoring
  • Ability to support Information Security and Risk Auditor in identifying, documenting, and mitigating risks
  • Strong coordination with senior management and internal stakeholders
  • Focus on continuous improvement for effectiveness, efficiency, and regulatory adherence

Responsibilities

  • Head the GRC department to ensure adherence to regulatory standards, internal policies, and ethical/lawful operations across Numeris and subsidiaries
  • Oversee and coordinate governance, risk, compliance activities, and client-facing contracts with emphasis on continuous improvement
  • Support the board, committees, and Numeris Members in fulfilling roles/responsibilities
  • Prepare and distribute board/committee meeting materials and records; maintain corporate requirements like articles, bylaws, and filings
  • Develop and maintain corporate governance policies, standards, procedures; ensure documentation, communication, and organization-wide maintenance
  • Create, negotiate, and manage client-facing contracts; coordinate with stakeholders for compliant language; monitor performance/renewals and ensure legal/policy compliance
  • Oversee compliance function: document/communicate client policies; develop member/client agreements; manage fee/price calculations and communications
  • Oversee QMS function, including internal audits against Numeris and MRC standards
  • Support privacy office: ensure compliance with privacy laws/regulations; develop/implement/review policies, procedures, training; monitor developments and advise on risks
  • Support Information Security and Risk Auditor in identifying, documenting, and mitigating risks
