We’re looking for a Director, Corporate Legal to lead Webflow's corporate legal function, with emphasis on public company readiness and strategic transactions. In this role, which is new to Webflow’s Legal team, you’ll play a pivotal role in supporting the company's growth and maturation, ensuring legal compliance and calibrated risk management.

Compensation

The cash compensation for this role is tailored to align with the cost of labor in different geographic markets. We've structured the base pay ranges for this role into zones for our geographic markets, and the specific base pay within the range will be determined by the candidate’s geographic location, job-related experience, knowledge, qualifications, and skills.

United States (all figures cited below are in USD and pertain to workers in the United States)

  • Zone A: $236,700 - $347,400
  • Zone B: $222,300 - $326,300
  • Zone C: $207,900 - $306,000

This role is also eligible to participate in Webflow's company-wide bonus program. Target amounts are a percentage of base salary and vary by career level. Payouts are based on company performance against established financial and operational goals.

Responsibilities

As the Director, Corporate Legal, you’ll be responsible for:

  • Securities and SOX Compliance:
    • Develop and implement securities law compliance program and insider trader policies.
    • Develop and implement SOX compliance framework, if and when applicable, including internal controls, disclosure procedures, and certification processes.
  • Board Governance:
    • Manage board and committee meetings, prepare materials, maintain corporate records, and advise on governance best practices.
  • Entity Management:
    • Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory requirements across all jurisdictions.
  • M&A Support:
    • Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective.
  • Corporate Transactions:
    • Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions.
  • Public Company Readiness:
    • Drive Webflow’s public company readiness, including due diligence coordination, and working with external counsel.
  • Leadership:
    • Build and lead corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations.

Requirements

  • JD degree with at least one active bar membership.
  • 10+ years of progressive corporate legal experience, including at public companies or representing public companies.
  • Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements.
  • Experience preparing companies for IPO or managing public company legal functions.
