Requirements

Candidates must possess a JD degree with at least one active bar membership and have over 10 years of progressive corporate legal experience, including experience with public companies or representing them. Essential experience includes securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements, along with experience preparing companies for IPO or managing public company readiness.

Responsibilities

The Director, Corporate Legal will lead the corporate legal function, focusing on public company readiness and strategic transactions. Responsibilities include developing and implementing securities law compliance and insider trading policies, creating a SOX compliance framework, managing board and committee meetings, overseeing corporate structure and entity management, leading legal due diligence and negotiation for M&A and corporate transactions, driving public company readiness, and building and leading the corporate legal team while managing outside counsel relationships and optimizing legal processes.
