Responsibilities

Advise senior management on corporate governance matters
Draft and review corporate governance documents (board resolutions, governance policies, committee charters)
Draft, review, and negotiate commercial contracts (supply agreements, licensing agreements, confidentiality, technology transfer agreements, strategic partnerships)
Support business teams in negotiating terms and conditions
Ensure contract compliance with laws, company policies, and business objectives
Assist with SEC filings (10-K, 10-Q, 8-K, proxy statements)
Advise on securities law compliance (insider trading policies, executive compensation, shareholder proposals)
Support preparation of earnings releases, investor relations materials, and public disclosures
Provide legal support for M&A transactions (due diligence, contract drafting/negotiations, structuring of deals)
Draft and review M&A agreements, joint venture, and other strategic investment agreements
Coordinate with internal teams and external legal counsel
Assist with corporate finance matters (debt and equity financing, capital raising efforts, public offerings)
Provide legal support for investor relations activities
Review securities offering documents
Provide proactive legal advice on risk management strategies
Identify legal risks in various business initiatives
