Responsibilities

  • Advise the Board and committees on governance matters, directors' duties, conflicts, and compliance
  • Monitor and assess emerging governance trends and regulatory changes, implementing policy updates
  • Ensure adherence to Articles of Association and relevant corporate governance codes
  • Oversee compliance with all applicable laws and regulations in various jurisdictions
  • Manage preparation and filing of statutory returns, reports, and legal documents
  • Advise on legal and procedural matters, including FEMA, IP rights, and other legislation
  • Coordinate with external legal counsel for expert advice
  • Manage Board and committee meetings: agendas, materials, minutes, action items
