Requirements

Expertise in developing, implementing, and maintaining global corporate governance frameworks aligned with international best practices and regulatory requirements
Ability to advise the Board of Directors and committees on governance matters, including directors' duties, conflicts of interest, and compliance with laws
Proficiency in monitoring emerging governance trends and regulatory changes to update policies and procedures
Knowledge of ensuring adherence to Articles of Association and corporate governance codes
Experience overseeing compliance with laws and regulations across multiple jurisdictions
Skills in managing preparation and filing of statutory returns, reports, and legal documents
Expertise in advising on legal matters related to FEMA, intellectual property rights, and other legislation
Ability to coordinate with external legal counsel on complex issues
Proficiency in managing Board and committee meetings, including agendas, materials, minutes, and action items
Capability to ensure timely and accurate information for Board decisions and facilitate communication between Board, management, and stakeholders
Experience serving as primary contact for shareholders, managing inquiries, communications, AGMs, share transfers, and dividend payments
Skills in maintaining accurate and up-to-date corporate records, including registers of members and directors

Responsibilities

Develop, implement, and maintain a robust global corporate governance framework
Advise the Board and committees on governance matters, directors' duties, conflicts, and compliance
Monitor and assess emerging governance trends and regulatory changes, implementing policy updates
Ensure adherence to Articles of Association and relevant corporate governance codes
Oversee compliance with all applicable laws and regulations in various jurisdictions
Manage preparation and filing of statutory returns, reports, and legal documents
Advise on legal and procedural matters, including FEMA, IP rights, and other legislation
Coordinate with external legal counsel for expert advice
Manage Board and committee meetings: agendas, materials, minutes, action items
Ensure Board members receive timely information and facilitate communication
Serve as primary contact for shareholders, manage inquiries and communications
Oversee AGMs, shareholder meetings, share transfers, dividend payments
Maintain accurate corporate records, including registers of members and directors
Facilitate communication between Board and stakeholders
Oversee legal filings, investor relations, and compliance for ESOPs, Shareholder’s Agreements
