Requirements

  • JD from an accredited law school; admission to the bar of any state
  • 3+ years of legal experience as member of in-house legal department or contracts department
  • High level of comfort supporting a sales-focused organization, working directly with business and technical colleagues and executive leadership to provide succinct advice in connection with contract terms and business policies
  • Excellent contract drafting skills and leading contract negotiations, understanding how to balance important risks and opportunities to reach a mutually acceptable agreement while maintaining a professional decorum and promoting internal and external relationships, including leading calls with clients during contract negotiations
  • Direct experience negotiating critical contract terms, such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality
  • Experience aligning contract terms to meet revenue recognition requirements and accounting rules for different

Responsibilities

  • Negotiate contracts directly with Experian's business clients, requiring in-depth work with and understanding of agreements for a variety of products and services, with an emphasis on employer services including verifications, unemployment claims, and tax credits and incentives (e.g., professional services agreements, RFPs, RFQs, NDAs, evaluation agreements, standard terms and conditions, remediation amendments, service level agreements, and master services agreements)
  • Find creative solutions that meet both Experian's and its clients' business and compliance needs and ensure that contracts comply with Experian policies and business practices, and regulatory requirements
  • Coordinate with different team members and subject matter experts in multiple roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance to help bring transactions to successful completion within the required time frame
  • Maintain and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with ongoing administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies
  • Use judgment to make decisions quickly to facilitate deal execution while minimizing risk to Experian's interests
  • Report to the Commercial Contracts Counsel Director
