Candidates must possess a J.D. from an accredited law school and be admitted to practice in at least one state bar, with a minimum of 7 years of relevant experience in U.S. securities laws and domestic/international M&A, preferably from a top law firm or a combination of law firm and in-house roles. A strong understanding of U.S. securities laws, M&A transactions, and corporate governance is essential, with experience in the technology sector and intellectual property transactions being a significant advantage. The role requires strong leadership, drafting, negotiation, and analytical skills, along with the ability to prioritize, multitask, and collaborate effectively with cross-functional teams in a fast-paced global environment. Familiarity with international M&A, cross-border regulatory issues, and public company environments is preferred.
The Associate General Counsel, Securities & M&A will advise on U.S. federal securities law compliance, prepare and review SEC filings, and monitor NYSE listing requirements and corporate disclosure obligations. They will ensure compliance with Irish corporate governance law, support board and committee meetings, and advise on insider trading policies and Section 16 filings. Additionally, they will serve as a lead attorney on domestic and international M&A and corporate transactions, handling deal structuring, drafting, negotiation, diligence, and post-closing integration. The role involves advising on regulatory and compliance matters related to M&A, providing strategic legal support for financing transactions and joint ventures, and managing outside counsel to ensure cost-effectiveness and alignment with company objectives.
