Requirements

  • Bachelor's degree in Business, Finance, Law, or a related field or equivalent experience
  • 7-10 years of experience in contract negotiation

Responsibilities

  • Lead Complex Negotiations: Independently lead and manage all phases of the negotiation process for high-stakes software, SaaS, and professional services agreements, including initial strategy development, negotiation, drafting and redlining of terms, and final execution
  • Strategic Advisory: Serve as a Procurement subject matter expert and trusted advisor to business units, legal, and finance teams; provide strategic guidance on negotiation strategy, risk mitigation, and acceptable fallback positions to support business goals
  • Contract Review and Analysis: Conduct thorough analysis of contract terms and conditions, identifying potential risks, legal exposures, and non-compliance issues; ensure all agreements align with company policies, legal standards, and industry best practices
  • Stakeholder Collaboration: Build strong, collaborative relationships with internal stakeholders, including Engineering, IT, Sales, Marketing, Finance, and Legal, to ensure a comprehensive understanding of business needs and to secure internal alignment on negotiation terms
  • Risk Management: Proactively identify and resolve contractual ambiguities and potential disputes before execution; develop and implement risk mitigation strategies to protect the company's interests
  • Process Improvement: Contribute to the continuous improvement of contract templates, negotiation playbooks, and best practices; mentor and train junior team members on effective negotiation techniques and contract management
  • Maintain Records: Accurately track and maintain detailed records of negotiation activities, savings, redlines, and final agreements within a Contract Lifecycle Management (CLM) system
