Requirements

  • Senior expertise in corporate legal matters, including governance, M&A, and compliance
  • Experience managing complex, multi-stakeholder projects such as M&A deals (due diligence, structuring, negotiation, closing), financing rounds, and employee equity programs
  • Ability to lead and mentor a small team of 2 junior legal professionals
  • Strong skills in preparing and organizing board meetings, committees, and shareholders' meetings, including drafting minutes and ensuring compliance
  • Proficiency in maintaining corporate documentation (articles of association, delegation of authority, internal regulations) across relevant jurisdictions
  • Experience coordinating and managing external legal counsel and advisors, with a focus on cost management
  • Capability to partner directly with Board of Directors, investors, Executive team, and cross-functional stakeholders
  • Comfort working autonomously on high-stakes projects like banking license transitions, IPO readiness, and corporate restructuring

Responsibilities

  • Lead corporate governance and compliance, ensuring adherence to legal and regulatory requirements across jurisdictions, and manage corporate structure during transition to a licensed bank
  • Prepare and organize board meetings, Board Committees, and General Shareholders' Meetings, including drafting accurate, compliant minutes and documentation
  • Manage M&A transactions and strategic operations, including due diligence, structuring, negotiation, closing, financing rounds, and BSPCE (employee equity) programs
  • Coordinate and oversee external legal support, managing relationships with lawyers and advisors to reduce reliance on outside counsel while controlling costs
  • Partner with investors, shareholders, and stakeholders on corporate matters, ensuring transparency, timely information flow, and integration of cross-functional legal inputs
