Requirements

  • 3+ years combined experience (with at least two years of in-house legal department experience with a SaaS company preferred)
  • Law Degree from an accredited institution
  • Active license to practice law in one of the 50 U.S. states
  • Experience negotiating and drafting complex commercial enterprise contracts
  • Proven track record of identifying, creating, and implementing contract process improvements
  • Experience supporting SaaS or cloud organizations and related revenue recognition concepts and issues
  • Experience with state, federal, and international data privacy and security laws and related contract provisions
  • Experience with artificial intelligence concepts, contract provisions, and counseling
  • Ability to manage multiple clients’ demands and projects with shifting priorities in a fast-paced and dynamic environment
  • Ability to communicate effectively, empathize with others, and resolve conflicts
  • Highly responsive with a service-oriented attitude with the ability to give succinct, commercially-driven legal advice
  • Works well autonomously and in a multidisciplinary team environment with strong organizational and interpersonal skills
  • Strong work ethic and ability to multi-task, prioritize, and follow-through on numerous projects
  • Experience with a communications or telecommunications organization is a plus

Responsibilities

  • Review, draft, and negotiate enterprise commercial SaaS master subscription agreements, master services agreements, data processing addenda and agreements, partner and channel agreements, business associate agreements, professional services agreements, statements of work, service schedules, support and service level terms, vendor agreements, and other legal documentation
  • Ensure that all contracts are consistent with internal corporate policies, revenue recognition requirements, processes, and risk tolerances
  • Lead assigned strategic and cross-functional projects in support of the Commercial Legal Team to achieve legal and business objectives
  • Work cross-functionally to draft terms for new products and services
  • Assist with the creation of contract templates, playbooks, guides, and policies
  • Be a trusted advisor and business partner across the company by assisting and advising the business and internal constituents on assigned projects and contracts
