Requirements

  • Experience in legal advisory for national and international concession projects in infrastructure sectors (social infrastructure, transport, transmission lines) under public-private partnership (PPP) regimes
  • Active involvement in project operations throughout the lifecycle: origination, bidding, acquisition, partnership, award, financing, execution, operation, and divestment
  • Ability to act as key liaison between the company, partners, government authorities, financiers, and external advisors
  • Knowledge of corporate law and compliance with legal and regulatory requirements in operating countries

Responsibilities

  • Provide legal advisory on infrastructure projects under PPP/P3 regimes, individually or in consortium with sponsors, investors, and/or industrials
  • Offer advisory support across all project phases: origination, bidding, acquisition, partnership, award, financing, construction, operation, and divestment
  • Draft, review, and negotiate agreements including consortium agreements, MoUs, C&Es, HoTs, bidding offers (national and international), shareholders' agreements, SPV/HoldCo/Partnership/Fund/Trust/JV incorporations, project financing (bridge, senior, miniperms, equity investments), concession contracts, services, construction, operation and maintenance, coordination, master agreements, and interfaces
  • Handle M&A operations: conduct DD, prepare and negotiate non-binding and binding offers, SPAs, APAs, SPIAs, ECAs; support DD phase, contract discussions, commercial negotiations, closing, and post-closing
  • Collaborate with Legal Advisory teams from other Group Divisions involved in project development, construction, exploitation, credential contributions in public/private bids, or associations for technical offers
  • Supervise and coordinate legal compliance of concession companies during the operation phase
  • Provide support, analysis, coordination, and monitoring of potential disputes, arbitrations, and contractual claims with a strategic and preventive approach
  • Designate, negotiate, and coordinate external law firms (Despachos E)
