Responsibilities

  • Negotiates institutional and private asset management (high net worth) separate account agreements and amendments
  • Negotiates agreements with program sponsors for separately managed accounts business
  • Drafts and reviews documents related to private funds
  • Supports legal filings such as Form ADV
  • Analyzes and interprets new laws and regulations and advises on their impact to T. Rowe Price entities
  • Provides legal support and guidance to firmwide strategic initiatives and departmental projects
  • Coordinates and works with senior attorneys on issues relating to Investment Advisers Act and other regulations impacting investment advisers (e.g., CFTC rules)
  • Negotiates investment management agreements with institutional clients, incorporating input from internal teams
  • Reviews business issues related to investment advisory activities, conducts legal research and investigations, crafts legal solutions balancing stakeholder interests with risks
  • Provides legal analysis under tight deadlines, prioritizes tasks, and enlists junior colleagues for routine assignments
  • Communicates and collaborates with advisory/oversight leaders (e.g., compliance, risk, audit) and develops legal responses for complex risks or noncompliance
  • Coordinates with global colleagues on matters of broad relevance
  • Reviews summaries of legal matters and due diligence activities prepared by less experienced professionals for accuracy
