Requirements

  • Juris Doctor degree with 8 or more years of experience as in-house or outside counsel advising technology and software companies in mergers and acquisitions, intellectual property, technology transactions, payments, and software licensing (Basic)
  • Admission to at least one state bar in good standing and able to register as in-house counsel as required (Basic)
  • Juris Doctor degree with 10 or more years of experience as in-house or outside counsel advising technology and software companies in mergers and acquisitions, intellectual property, technology transactions, payments, and software licensing (Preferred)
  • Ability to work independently and collaboratively as needed, and engage directly with business clients at all levels (Preferred)
  • Practical and creative problem-solver with strong business acumen, communication skills, and work ethic (Preferred)
  • Excellent judgment and the ability to manage competing priorities and deadlines (Preferred)
  • Experience in the drafting and negotiation of complex technology transactions agreements (Preferred)
  • Admission to practice before the U.S. Patent and Trademark Office and experience with open source software licensing issues and standards setting organizations (Preferred plus)
  • Skilled at managing multiple priorities in a fast-paced environment, with strong analytical, client counseling, and negotiation skills; self-motivated, optimistic, curious, and collaborative team player
  • Comfortable negotiating a variety of IP terms which preserve Visa’s proprietary rights while mitigating IP risk and ensuring freedom to operate
  • Availability for hybrid on-site work (expectation of days in office confirmed by hiring manager), varying work hours upon department needs, and travel 5-10% of the time
  • Ability to sit/stand at a desk, communicate in person/by telephone, and operate standard office equipment

Responsibilities

  • Support Visa’s mergers and acquisitions and ventures investment activity from an IP point of view, including IP diligence
  • Advise attorney colleagues and internal clients across Visa’s business on IP related issues in commercial deals and IP/technology transactions
  • Work closely with other experienced lawyers and legal/IP professionals
  • Regularly engage with business clients to understand and achieve key business objectives
  • Negotiate a variety of IP terms to preserve Visa’s proprietary rights while mitigating IP risk and ensuring freedom to operate
  • Report to a Vice President in Visa Legal who leads the Global IP function
  • Support Visa’s product and technology organizations as part of the growing legal team
